In a high-stakes property deal on the brink of collapse, complicated by the involvement of an Official Receiver and the legal chaos of the seller’s insolvency, our team was called to do the impossible. When most would walk away, RSL LAW stepped in.

Key Challenges

  • Gifted Equity Refused by the Official Receiver
    The client was purchasing a property from the Official Receiver, with part of the purchase price intended as gifted equity from the seller, who was also the buyers family member. The Official Receiver initially refused to approve the transaction on the basis that the gifted equity could not be recognised under the insolvency framework. This posed a serious risk to the client’s ability to proceed with the purchase.
  • Stakeholder Alignment and Mortgage Compliance
    The client’s mortgage lender also required clear documentation regarding the source of funds. We needed to structure the contribution in a way that complied with the lender’s policies while addressing the Official Receiver’s concerns about third-party gifts and perceived undervalue transactions.

Our Solution

  • Deferred Loan Agreement Structure
    Our legal team negotiated and drafted a Deferred Loan Agreement between the seller and the buyer. This agreement transformed the gifted equity into a formal loan, repayable only on deferred terms. Critically, the agreement was structured to be subordinate to the mortgage lender’s charge and was compliant with both insolvency regulations and the lender’s requirements.
  • Securing Multi-Party Agreement
    By working closely with the Official Receiver, our client’s lender, and independent valuers, we were able to present a clear and legally sound structure. Our experience in complex property transactions enabled us to navigate the process smoothly, ensuring all parties were satisfied with the final arrangement.
  • Regulatory and Legal Compliance
    Throughout the transaction, we ensured full compliance with insolvency law, mortgage lending criteria, and professional valuation standards. Every legal step was rigorously managed, from initial negotiations to final completion.
The Outcome

Thanks to our expertise and creative thinking, our client was able to purchase the property with the benefit of the family support, while fully satisfying both the Official Receiver and their lender. The Deferred Loan Agreement preserved the family’s intentions, protected the client’s position, and ensured a compliant and successful transaction.
